Meeting of the Board of Directors

January 9, 2008

MINUTES

A meeting of the Kiawah Property Owners Group (KPOG) Board of Directors was held at the Sandcastle on Kiawah Island at 9:00 AM, Wednesday, January 9, 2008.

Present:  Vice President Art Morgenstern called the meeting to order and took roll call. Present were Vice President Art Morgenstern, Secretary Sandy Williams, Treasurer, Ben Farabee, and Board Members, Laurie Burpee, Katie Kotz, and Ron Ritchie. President Diane Lehder attended by phone. Also present were Barbara Winslow, TALK Editor, Data Base Manager, Kathy Heikes, and guests Greg Vanderwerker, Wendy Kulick, and Jim Parker.

Approval of Minutes: The minutes of the December 2007 Board Meeting were accepted as written.

Treasurer’s Report:  Treasurer Ben Farabee reported that as of January 8, 2008, we have in our checking account $11,511.30 and $47,521.45 in savings for a total of $59,032.75. Our CD is valued at $105,818.87. The CD matures on January 26, 2008. State and Federal taxes have been paid.

Membership Report:  Katie Kotz, Membership chair reported that the membership count for 2007 to date is 1916. Membership renewal letters went out on January 3rd. 2008 memberships are beginning to come in.

 

OLD BUSINESS

  • Nominating Committee Report: Nominating Committee Chair Sandy Williams presented the following recommendation to the Board:

    The Nominating Committee recommends that the names of the following individuals be placed in nomination as officers, to be elected for a term of one year each.

    President: Art Morgenstern
    Vice-President: Arie deZanger
    Secretary: Ron Ritchie
    Treasurer: Pete Silveston

    The Nominating Committee recommends that the names of the following individuals be placed in nomination as Directors, to be elected for terms of two years each.

    Director: Charlie Smith
    Director: Bob Oakman

    The Slate of Officers will be considered by the Membership at the KPOG Annual Meeting on March 1st.

    There were several other candidates interested in the position of non-officer director. President Diane Lehder suggested that we include them in our “stuffing party” when we put together the materials for our Annual Meeting.

  • Annual Meeting: KPOG’s Annual Meeting will be held on Saturday morning, March 1, 2008, at the Sandcastle. Senator Glenn McConnell and Roger Warren from the Resort, have agreed to speak. The business meeting will include the election of officers for the 2008-2009 year as well as a vote on proposed by-law changes. President Diane Lehder has put together a letter to the members. She will meet with Art Morgenstern and Laurie Burpee who will then work on the details for the meeting. Barbara Winslow, TALK editor will put a box advertising the meeting on the front page of the February edition.

  • FOIA (Freedom Of Information Act): President Diane Lehder and Vice President Art Morgenstern met with TOKI Mayor Bill Wert and Councilman Al Burnaford on January 4th to express our concern with the Town’s lack of compliance on meeting notification. Diane and Art gave Wert and Burnaford a Plain English version of the SC FOIA developed by the SC Press Association. The Town did not know that this document was available and had been following their attorney’s advice on FOIA compliance. According to FOIA, the letters written by Diane and Art requesting individual notification of meetings, need to be answered within three weeks.

  • Amphitheater and Bike Path: Both of these issues appear to be closed. At this time, the money is not available for the funding of the amphitheater. DHEC would not sign off on the plans for the bike path. They would only approve the project if the wetland mitigation occurred on a piece of land on Kiawah Island proper. The Town is talking to the Developer to see if the Developer has any on Island property suitable for mitigation.

  • Safety & Security:  The traffic counts for December are as follows:

Incidents: In December of 2007 there were 45 incidents, down slightly from December 2006 when there were 49 incidents. There were more traffic /accident and animal incidents and fewer noise, help to property owners, and contractor problems.

  • Development Agreement: Conversations are continuing on the Development Agreement. Vice President Art Morgenstern raised the question if we should we provide a forum on this issue for people who are interested.

  • Johns Islands RoadsThe Coastal Conservation League and Concerned Citizens have met again to discuss options to the I-526 plans. The Coastal Conservation League is putting together a traveling presentation on the alternatives to the extension of I-526. President Diane Lehder asked the Board if we would like to sponsor them. There would be a single presentation on I-526. Both entities would be there. We could advertise it with a notice in TALK and an e-mail blast. The Board is definitely interested in sponsoring this presentation. Diane will contact the Coastal Conservation League to find out when the presentation will be available.

  • Other Business: Data Base Manager Kathy Heikes discussed with the Board the mechanics for printing the proxy labels. Kathy will work with Kelly Bragg to determine what labels to print.

  • By-Laws: The Board continued with the review of the proposed by-law changes. Copies of the by-laws with the proposed changes will be available for members to review at the Annual Meeting and on the KPOG website

Upon motion duly made and seconded, the meeting was adjourned to Executive Session at approximately 11:15 am.
