Meeting of the Board of Directors

February 7, 2007

MINUTES

A meeting of the Kiawah Property Owners Group (KPOG) Board of Directors was held at 9:00 am, February 7, 2007, at The Sandcastle, Kiawah Island, SC.

Present:  President Diane Lehder called the meeting to order and took roll call. Present were Vice President Art Morgenstern, Board members Laurie Burpee, Ron Ritchie, Sandy Williams and Ben Farabee. Also present were Past President Jim Piet and Talk editor Barbara Winslow.

Absent: Membership Chair Kathy Heikes   

Approval of Minutes: The minutes of the January 2007 Board Meeting were approved with minor corrections

Treasurer’s Report:  Treasurer Ben Farabee announced that balance in the checking account is $13,898.13 and the balance in savings is $54,305.80 for a total of $68,202.93. We also have $101,872.13 in our CD. Ben has renewed the CD for 90 days to take advantage of the 5.15% interest rate. He has also applied and paid for our TOKI Business License. Ben has filed our Income Tax, but only had to pay our State License Tax.

 

Membership Report:  There is no formal report as our Membership Chair is away. Mail from our membership drive is coming in – over 1000 responses so far. Pat Gresch, Wendy Kulick and Cindy Redmond have been working on renewal data entry. They will also put together a “lessons learned” to assist in the process next year.

 

OLD BUSINESS

  • Nominating Committee: We have a report from chair Lynn Morgenstern:  President Diane Lehder, Vice President Art Morgenstern, Secretary Sandra Williams, and Treasurer Ben Farabee were nominated as officers for a second term of one year each. Katie Kotz has been nominated as a Director for a two year term.

    There is a need to clarify our by-laws for next year.  The language needs to be precise so that it is clear how many years an individual can serve on the board. We also need a rotation system so it will not be possible for all of the officers to rotate off at the same time. President Diane Lehder asked that the officers and board members review the By-laws and scheduled a meeting to work on them for next week.

  • Safety & Security:  Art Morgenstern reported that in January we had a drop in the number of reported incidents to KICA Security. This leveling off of incidents -  49(Dec), 48, (Jan.) – is due to winter slowdowns. There continued to be a decrease in traffic at the Main Gate, and an increase in traffic going through the V Gate.

  • KICA: The Board discussed whether KPOG should take a position on the proposed KICA Covenant changes. Past President Jim Piet stated that usually KPOG doesn’t take a position, but makes clear the pros and cons for the issue, making sure that members know what is at stake. As President Diane Lehder was considering covering the issue in her President’s column, Vice President Art Morgenstern suggested that the officers give Diane input to be sure all of the issues are covered. KICA will hold a public meeting at the Sandcastle on February 15th to clarify the proposed Covenant changes.

  • Johns Islands RoadsJim Piet stated that the Town supposedly has no position on the completion of 526. The Town Council did state that they felt Johns Island’s roads should be fixed first. There is a meeting  next Monday night (February 12th) at Johns Island High School on the issue of Johns Island roads.

  • Interactive map for websiteThe interactive map for our website provided by property owner Jay Smith is up. The best feature is being able go in and find streets and find directions to streets. There will be a box in February TALK issue to inform members that we now have it available. Diane Lehder will send out an FYI to member list that it is available in advance of TALK.

  • Development Agreement with Resort: The Resort has written a letter to the Town suggesting that the negotiations be reopened. Apparently, the letter requests that  discussion be limited to zoning and development on West Beach. It was suggested that a committee of two get back with the Resort to set the ground rules for negotiations. A new committee has been suggested. Al Burnaford and Charlie Lipuma have been recommended.

  • Town Council Meeting: Town Administrator Tumiko Rucker mentioned that there would be an .08 rate increase from KIU. Diane Lehder will clarify the amount.

There is an individual interested publishing a paper for Kiawah – Seabrook which would contain real estate, pictures, and what’s happening.

  • Annual Meeting: The KPOG Annual Meeting will be held on Saturday ,March 3rd at 9:00 AM at the Sandcastle. Roger Warren from the Resort, Paul Thurmond from County Council, and Representative Leon Stavrinakis have agreed to speak. Their speeches will be limited to ten minutes plus time for questions. Jim Piet suggested that we ask Paul Thurmond to speak on Johns Island roads and Leon Stavrinakis to talk about as a new legislator what has impressed him, and what his concerns are as to what is going on in the State Legislature.

    Art Morgenstern contacted KICA about posting the Annual Meeting time and place on the message boards at the Main Gate Thursday – Saturday, March 1 - 3. We can post a message on the outgoing board, but the incoming board will be used for the KICA Board Meeting. We will ask for an extra day on Wednesday, February 28th to post the information on the incoming board. Barbara Winslow will assist Art in purchasing “goodies” for the meeting.

    Diane Lehder will send an email alert with the slate of officers.

NEW BUSINESS 

  • Art and Diane will follow up with our attorneys to discuss issues that are going on.

Upon motion duly made and seconded, the meeting was adjourned to Executive Session at approximately 10:20 am.
